Terms and Conditions

These Terms and Conditions (“Terms”) govern all photography, videography, editing, and related creative services provided by Focal Vantage LLC (“Focal Vantage,” “we,” “us,” or “our”) to any individual, organization, or entity purchasing or receiving such services (“Client”). By booking services, paying a retainer or invoice, signing a proposal or agreement, or otherwise engaging Focal Vantage, Client acknowledges that Client has read, understood, and agreed to these Terms.

Photo & Video Services

Focal Vantage provides professional portrait, event, and related photography and videography services as described in the applicable proposal, booking confirmation, invoice, statement of work, or other written agreement. The scope of each engagement, including coverage time, locations, number of photographers or videographers, anticipated deliverables, and delivery method, shall be determined by the applicable booking or written agreement. Unless expressly agreed otherwise in writing, Focal Vantage retains professional and artistic discretion concerning composition, posing, lighting, camera placement, equipment, lens selection, exposure, audio capture, and other creative and technical decisions. Client acknowledges that photography and videography are artistic services and that exact duplication of another photographer's or videographer's work, a particular image, or a specific visual style cannot be guaranteed.

For event assignments, Client is responsible for obtaining any permissions reasonably necessary for photography, videography, drone operations, or equipment use at the venue or location, except where Focal Vantage expressly agrees in writing to obtain such permissions. Focal Vantage does not guarantee that every individual, activity, moment, or requested image will be photographed or recorded, particularly where circumstances outside our reasonable control interfere with coverage.

Editing and Final Deliverables

Focal Vantage may professionally edit all photographs and video delivered, consistent with our artistic style and professional standards. Editing may include exposure and color correction, cropping, tonal adjustments, sharpening, noise reduction, skin and blemish correction, audio adjustment, stabilization, sequencing, and other reasonable enhancements. Extensive retouching, compositing, object removal, body modification, advanced audio repair, additional video revisions, or other editing outside the agreed scope may incur additional fees.

Selection of final photographs and video footage for delivery remains within Focal Vantage's professional discretion unless otherwise agreed in writing. Unedited photographs, RAW image files, ungraded video footage, project files, timelines, and other source materials are not included as deliverables unless specifically identified in the applicable agreement. Client acknowledges that rejected images or footage may include duplicates, test exposures, missed focus, closed eyes, undesirable expressions, technical failures, or other material that does not meet Focal Vantage's professional standards.

Copyright and Client Usage Rights

Except where expressly transferred through a separate written copyright assignment signed by Focal Vantage, all photographs, video recordings, edited films, and other original creative works produced by Focal Vantage remain the intellectual property of Focal Vantage and are protected by the United States Copyright Act, 17 U.S.C. §§ 101 et seq., and other applicable intellectual-property laws. Payment for photography or videography services does not, by itself, constitute a sale, assignment, or transfer of copyright.

For portrait and private-event photography and videography, Client is granted a non-exclusive, non-transferable license to use delivered materials for personal, non-commercial purposes, including personal printing, display, sharing with family and friends, and posting to personal social-media accounts. Client may not sell, license, commercially exploit, materially alter, or represent the work as the creation of another photographer or videographer without prior written authorization from Focal Vantage. Commercial, advertising, promotional, editorial, publication, sponsorship, or other business use requires a separate written license unless such rights are expressly included in the applicable service agreement.

Client shall not remove or intentionally obscure copyright notices, watermarks, or attribution where such markings have been included as a condition of use. Client shall not apply filters, AI-generated alterations, substantial retouching, or other modifications that materially misrepresent the delivered work and subsequently attribute the altered work to Focal Vantage without our consent.

Portfolio, Promotional Use, and Privacy

Unless otherwise provided in the applicable agreement or prohibited by law, Focal Vantage may request permission to display selected photographs or video from an engagement in its professional portfolio, website, studio samples, social-media channels, competitions, publications, advertising, and other promotional materials. Where a separate model release, publicity release, venue agreement, confidentiality obligation, or other authorization is legally required, such use shall remain subject to the applicable authorization.

Clients may request that photographs or video from a private event or portrait session remain confidential and not be used for promotional purposes. Clients should communicate any such restriction in writing before the session or event and, when appropriate, document it in the applicable service agreement or release.

Confidentiality

Focal Vantage will use reasonable care to protect confidential information supplied by Client and will not knowingly disclose confidential or non-public information to third parties except as reasonably necessary to provide the contracted services, operate our business, comply with applicable law, respond to lawful legal process, protect our legal rights, or as otherwise authorized by Client. Focal Vantage may use professional laboratories, cloud-storage providers, gallery platforms, payment processors, editors, second photographers, videographers, contractors, and other service providers in connection with an engagement. Such access shall be limited to information reasonably necessary to perform the applicable services.

Payment

The applicable proposal, invoice, booking agreement, or service contract shall state fees, retainers, deposits, installment payments, and payment deadlines. Unless expressly designated otherwise, any booking retainer reserves Focal Vantage's availability for the agreed date and may be non-refundable to the extent permitted by applicable law and the applicable agreement. A booking is not confirmed until you accept any required agreement and Focal Vantage receives the required retainer.

Unless otherwise agreed in writing, you must pay all outstanding balances by the due date stated on the applicable invoice or agreement. Focal Vantage may withhold final photographs, video, galleries, downloads, physical products, or other deliverables until all amounts due have been paid. Focal Vantage may invoice additional services, overtime, expedited editing, additional revisions, prints, albums, travel, location fees, permits, parking, shipping, or other costs outside the original scope separately. Client shall be responsible for applicable taxes and authorized expenses.

Travel and Location Expenses

Services performed outside Focal Vantage's normal service area may be subject to additional travel charges. Depending upon the assignment, these charges may include mileage, airfare, baggage and equipment fees, lodging, ground transportation, rental vehicles, parking, tolls, permits, venue fees, and reasonable travel-related expenses. Travel requirements and material expenses will ordinarily be disclosed in the applicable proposal or agreement when reasonably foreseeable.

Where travel has been booked specifically for Client's engagement, Client may remain responsible for non-refundable or non-recoverable travel expenses if the engagement is canceled, postponed, or rescheduled, subject to the applicable agreement and governing law. Focal Vantage shall not be responsible for delays or inability to perform caused by airline disruptions, road closures, severe weather, governmental restrictions, natural disasters, venue closures, or other circumstances beyond our reasonable control.

Limitation of Liability

Focal Vantage will exercise reasonable professional care in performing its services and handling Client's images and recordings. Client nevertheless acknowledges that photography and videography involve equipment, digital media, data storage, transportation, environmental conditions, and other circumstances that may occasionally result in loss or failure despite reasonable precautions.

To the maximum extent permitted by applicable law, Focal Vantage shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from an engagement. In the event photographs, video footage, audio recordings, or other deliverables are lost, corrupted, destroyed, stolen, or rendered unusable because of equipment malfunction, storage-media failure, data corruption, accident, theft, or another circumstance, Focal Vantage's liability shall be limited as provided by the applicable service agreement and applicable law. Nothing in these Terms is intended to exclude or limit liability that cannot lawfully be excluded or limited.

Focal Vantage is not responsible for missed or obstructed photographs or recordings caused by Client, guests, venue personnel, other vendors, restrictions imposed by venues or officiants, weather, lighting conditions, late arrivals, schedule changes, interference by attendees using cameras or mobile devices, or other circumstances beyond Focal Vantage's reasonable control.

Client Cooperation and Event Conditions

Client agrees to provide reasonable cooperation and timely information necessary for Focal Vantage to perform the contracted services. For events, Client is responsible for communicating schedules, locations, access requirements, important participants, and requested photographs or moments sufficiently in advance. While Focal Vantage will make reasonable efforts to accommodate requested images and coverage priorities, no particular photograph, pose, participant, scene, or moment is guaranteed unless specifically agreed otherwise in writing.

Focal Vantage reserves the right to suspend or terminate services where conditions present a reasonable threat to the safety of our personnel or equipment, including threatening or abusive conduct, unsafe locations, illegal activity, severe weather, or other hazardous circumstances. Any resulting refund or payment obligation shall be determined under the applicable service agreement and governing law.

Delivery, Storage, and Archiving

Focal Vantage will communicate estimated delivery schedules in the applicable agreement or booking materials. Delivery dates are estimates unless expressly guaranteed in writing. Client is responsible for downloading and maintaining backup copies of delivered digital files. Focal Vantage may retain copies of completed projects for archival purposes but does not guarantee permanent storage of photographs, video, RAW files, source footage, or project files after final delivery. Client should therefore maintain multiple independent backups of all delivered files.

Force Majeure

Neither Focal Vantage nor Client shall be considered in breach of an obligation that cannot reasonably be performed because of circumstances beyond the affected party's reasonable control, including natural disasters, severe weather, fire, epidemic or pandemic restrictions, acts of government, war, civil disturbance, transportation interruption, venue closure, utility failure, or similar events. Where practical, the parties will attempt in good faith to reschedule affected services. Financial obligations relating to retainers, non-refundable expenses, rescheduling, or cancellation shall be governed by the applicable service agreement and applicable law.

Governing Law

These Terms and any agreement incorporating them shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict-of-law principles. Unless otherwise required by applicable law or agreed in writing, any legal action arising from or relating to services provided by Focal Vantage shall be brought in a court of competent jurisdiction located in Arizona. The parties agree to make reasonable good-faith efforts to resolve disputes informally before commencing formal litigation.

Entire Agreement and Severability

These Terms, together with the applicable proposal, invoice, booking confirmation, model release, service agreement, or other written document expressly incorporated into the engagement, constitute the agreement between Focal Vantage and Client concerning the matters addressed herein. If a conflict exists between these general Terms and a separately signed service agreement, the separately signed agreement shall control with respect to the conflicting provision.

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect to the extent permitted by law. Focal Vantage's failure to enforce any provision shall not constitute a waiver of that provision or any other right.

Changes to These Terms

Focal Vantage may revise these Terms periodically to reflect changes in its services, business practices, or applicable law. Changes will apply prospectively and will become effective when published or otherwise communicated, except that an existing signed engagement shall remain governed by the version of the Terms incorporated into that engagement unless the parties agree otherwise in writing.
